BYLAWS OF THE HERO HANDICAP FOUNDATION
Chapter I.
General provisions
- The Foundation shall operate in accordance with the laws and regulations in force, the Statutes and these Regulations
- The Foundation operates on the basis of applicable laws, the Statutes and these Regulations.
- The Rules of Procedure shall be adopted by the Board of the Foundation and may be amended by a resolution adopted by a simple majority in accordance with § 16 of the Articles of Association.
Chapter II.
Bodies of the Foundation
- The bodies of the Foundation are:
- Foundation Board,
- Foundation Council - if appointed (§ 10 of the Articles of Association).
- The Board of the Foundation is composed of:
- President of the Management Board - Jacek Uchański
- Vice-President of the Management Board - Aneta Kaczmarek
Chapter III.
Terms of reference Management Board
- The Board manages the Foundation's activities and represents it externally (§ 12 of the Statutes).
- The competences of the Executive Board include, in particular, the tasks listed in § 13 of the Articles of Association, such as
- management of the Foundation's assets,
- making decisions on the allocation of funds,
- preparation of annual factual and financial reports,
- setting employment and remuneration rules for employees,
- drawing up material and financial plans,
- representing the Foundation externally.
- Each member of the Management Board is authorised to act within the limits of the amount of PLN 20,000 (§ 6(2) of the Statutes ). Above this amount, the consent of both Board members is required.
Chapter IV.
Division of responsibilities within the Management Board
§ 1.
Joint responsibilities of the President and the Vice-President of the Management Board
Jacek Uchański, President of the Management Board, and Aneta Kaczmarek, Vice-President of the Management Board, are jointly responsible for:
- Planning, organising, coordinating and running training and sports events, including scheduling activities, recruiting participants and liaising with coaching staff.
- the organisation and development of the Handicap Hero Sports Academy, in accordance with the provisions of § 3(3) of the Handicap Hero Foundation's Articles of Association.
- initiating and coordinating projects related to rehabilitation and social integration through sport, including national and international projects.
- establishing and maintaining contacts with sponsors, sports partners, training establishments, public institutions and economic players.
- raising financial, material and organisational funds for the Foundation's sporting, rehabilitation and educational purposes.
- coordination of sporting and social events, including team-building activities, festivals, competitions and promotional projects.
§ 2.
Individual responsibilities of the CEO
President of the Management Board Jacek Uchański is responsible in particular for:
- substantive supervision of the quality of sports programmes and the training process.
- the safety of participants and the development of safety procedures.
- representation of the Foundation at professional events and sports conferences.
§ 3.
Individual responsibilities of the Vice-President of the Management Board
Vice President of the Management Board Aneta Kaczmarek is responsible in particular for:
- administrative services of the Foundation, in accordance with § 4 point 14 of the Statutes.
- communications and media handling, including running social media, contacting the press and promoting the Foundation's activities.
- organisation of volunteering and contact with beneficiaries and cooperating institutions.
Chapter V.
Meetings of the Management Board
- Meetings of the Executive Board are held as required, at least once a month.
- Resolutions are passed in accordance with § 16 of the Articles of Association.
- Minutes of the meeting shall be drawn up.
Chapter VI.
Representation and signing of documents
- Each member of the Management Board has the right to act as a single person up to an amount of PLN 20,000.
- Above this amount, the signatures of the President and Vice President are required for commitments (§ 6 of the Articles of Association).
Chapter VII.
Final Provisions
- The Rules of Procedure shall enter into force on the date of their adoption by the Management Board.
- The Rules of Procedure may be amended by resolution of the Management Board.
